Handoff Academy / Legal
Terms of Service
Your use of the website, the Academy offer, and each party’s responsibilities.
Effective and last updated
Read our Privacy PolicyThese Terms of Service ("Terms") govern the Handoff Academy website, its public content, demonstrations, and authorized downloads, and Academy memberships purchased through this website, including their curriculum, tools, community, and included support (collectively, the "Services"). Miranda & Valdes Collective, LLC, a Florida limited liability company ("MVC," "we," "us," or "our"), operates Handoff Academy.
Please read the dispute-resolution terms in Section 13. Subject to applicable law and the exceptions there, they provide for individual arbitration instead of a court or jury trial and include a class-action waiver. You may opt out as described in Section 13.8. Sections 10–12 address warranties, liability limits, and indemnification. Nothing in these Terms takes away rights or remedies that applicable law does not allow you to waive.
1. Scope and acceptance
By using the Services, you agree to these Terms. If you do not agree, stop using the Services. If you act for a business or organization, you represent that you have authority to bind it; "you" includes that organization where applicable. Our Privacy Policy describes how we handle information in connection with the Services and is incorporated into these Terms.
These Terms apply to Handoff Academy at handoffacademy.com and its Vercel deployment aliases. They do not replace the terms of an existing Mother of AI purchase, website, or member account. Your existing purchase retains the terms confirmed for that purchase.
Enrollment is live. Choosing a plan sends you to a checkout page hosted by Stripe, our payment processor, where you enter your details and authorize a single payment. A membership is created only when your payment is completed on the Stripe-hosted checkout page. Answering the readiness questions or opening the enrollment dialog charges you nothing. Stripe records your acceptance of these Terms on that page, and we record the version of these Terms you accepted with your purchase.
2. Eligibility and intended use
The Services are intended for adults age 18 or older and for business owners and operators in the United States. By using the Services, you represent that you are at least 18 and legally able to enter into an agreement. The Services are not directed to children.
You must comply with the laws that apply to your use. Do not use educational materials or AI outputs as the sole basis for regulated, safety-critical, or other high-risk decisions. Nothing in these Terms excludes mandatory protections that apply to you under law.
2.1 Accessibility
We want the Services to be usable by people with disabilities. If you encounter a barrier using this website, email support@handoffacademy.com with the subject "Accessibility" and describe the page and the issue. We will work to provide the information or access you need another way and to address reported barriers within a reasonable time.
3. The Academy offer
3.1 Membership shown on this website
The Academy teaches practical AI workflows through education, tools, and community. The current offer is:
- Basic: $497 USD once for 90 consecutive days. Includes the self-paced curriculum, Skills Hub, Prompt Enhancer, Mai AI tutor, Academy community, and the included AI Strategist plugin.
- Premium · VIP: $1,697 USD once for 90 consecutive days. Includes Basic's benefits, Weekly Office Hours, and one 30-minute private Genius Bar credit in each 30-day period, up to three credits during the access term. Credits must be used within their applicable 30-day period; unused credits do not roll over.
- Team orders: up to 10 Basic seats or 2 Premium · VIP seats in one payment. Basic team rate: $447 USD per seat, 2 to 10 seats. Premium · VIP team rate: $1,527 USD per seat, 2 seats maximum. Each seat is 90 consecutive days for one named learner. See Section 3.4.
- No automatic renewal. There is no recurring membership charge. Separate subscriptions to Claude, ChatGPT, or other third-party tools are not included unless a written offer expressly says otherwise.
The amounts above are membership prices in U.S. dollars, charged once. Any applicable taxes are shown on the Stripe checkout page before you authorize the payment. For a paid individual membership under the current 90-day offer, your access term starts when you successfully finish setting up your account. If you already have an account, it starts on your first successful sign-in after purchase. You must activate within 90 days of purchase; an unactivated membership lapses at that deadline. Your 90 consecutive days of access begin once and later sign-ins do not restart them. For a team order, each learner activates as Section 3.4 describes. For an individual membership, your 30-day money-back guarantee starts at the same account activation that begins your access. A team order’s guarantee starts when its first learner activates, as Section 4.1 describes. Buying a membership or signing into the separate Summit Guide does not activate Academy access or start the guarantee. Trials, complimentary memberships, recurring plans and older offers retain their own access rules. Only you authorize the charge, on Stripe's page.
3.2 Access and service limits
A paid membership grants access only for the fixed term confirmed at purchase. At expiration, included hosted lessons, tools, resources, community access, Office Hours, and booking privileges end. Materials lawfully downloaded remain subject to their applicable licenses. Workflows you build in your own third-party accounts remain subject to those providers' terms and your accounts with them.
A membership is for one learner. The buyer may take the Academy or designate one person, such as an employee or virtual assistant, to take it instead; tell us at purchase or by emailing support before the account is claimed. For a team order, you name a learner for each seat in the Academy member portal, as Section 3.4 describes. Sharing login credentials, rotating learners during the term, or using one membership for more than one person is not permitted. We may suspend or end access after notice of a violation, subject to the refund rights in Section 4 and any non-waivable rights under law.
Support sessions are educational, subject to scheduling and reasonable availability, and do not guarantee a particular resolution or business result. Your membership is delivered in the Academy member portal, which emails your account-setup link and applies its own account-security, community-conduct, and booking terms and its own privacy notice. Completion certificates, if offered, are not accreditation, professional licenses, or academic credit.
3.3 Examples, screenshots, and assigned values
Task windows and readiness results illustrate what members learn; they do not execute a workflow or provide live AI assistance. Mai is an AI tutor, not a human employee. Screenshots show the existing Academy platform, sometimes within Handoff styling. Historical interface details and plan labels in those images do not change the offer stated here.
The value ladder uses values assigned by the Academy to components of the membership; these are internal reference values, not prices at which the components are offered separately. They are not former or discontinued selling prices, independent appraisals, market comparisons, discounts, guaranteed savings, or promised financial returns. A savings figure shown beside a plan is only the arithmetic difference between the plan price and the sum of those assigned values; it does not represent savings against an available offer to buy those components separately. Do not rely on these figures as a market comparison when deciding whether to purchase. Examples and educational content do not promise income, revenue, profit, time savings, productivity, or business success.
3.4 Team orders
You may buy 2 to 10 seats in one payment on the Stripe-hosted checkout page, within the limit for your plan. A Premium · VIP team order is limited to 2 seats, so that Weekly Office Hours stay small enough for every Premium member to be heard; a Basic team order may hold up to 10 seats. Every seat in an order carries the same plan. Choose the seat count before you continue. On a Basic order you can still change it on the Stripe page within the 2 to 10 range; a Premium · VIP order is fixed at 2 seats on the Stripe page. The team rates in Section 3.1 apply to every seat in the order.
A team order buys seats. It does not give you Academy access. After your payment completes, the Academy member portal emails you an account-setup link. Set a password, open your team page, and enter the full name and email address of each learner. You may assign a seat to yourself. By entering a learner's details you confirm you may share them with us for this purpose. Your team page shows whether each seat is open, awaiting activation, active, or expired. It does not show a learner's lessons, notes, community posts, or session history.
Each seat is for one named learner with separate credentials. That learner's 90 consecutive days start when they complete account setup or, if they already have an account, first successfully sign in after assignment. Each learner must activate within 90 days of assignment; an unactivated seat lapses at that deadline and is not reusable. Later sign-ins do not restart access. Assign every seat within 90 days of purchase. A seat still unassigned at that deadline lapses, with no refund beyond the guarantee in Section 4. An assignment lasts the whole term: once a learner claims a seat you may not rotate learners through it or move it to someone else, and two people may not share a seat. Support can correct a mistyped invitation email address before the learner claims the account. A seat carries the plan you bought for it; you cannot move a seat to a different plan.
Someone who already holds an active or pending Academy membership cannot take a seat. In that case no assignment takes effect, no term starts, and the seat stays open for you to name a different learner before the deadline above.
4. Money-back guarantee and refunds
The following describes the Academy guarantee for current paid 90-day Academy memberships, including eligible memberships already purchased. It does not alter the terms of legacy MOAI purchases, older offers, trials, complimentary memberships or recurring plans.
4.1 The 30-day guarantee
If you decide the Academy is not for you, you may request a full refund of your paid individual Academy membership within 30 days of account activation. Account activation is the same event that starts your 90 days of Academy access: completing Academy account setup or, if you already have an Academy account, your first successful sign-in after purchase. The guarantee starts once; later sign-ins do not restart it. Purchase and sign-in to the separate Summit Guide do not start the guarantee. Email support@handoffacademy.com from the email associated with the purchase and include your receipt or transaction date.
The guarantee is limited to one Academy membership refund per person or household; repeated purchase-and-refund activity may be declined as abuse. Approved refunds return the full purchase price to your original payment method; we do not deduct a processing fee. Your bank or payment provider controls when funds post. When a refund is approved, membership access and included benefits end immediately.
For a team order, you may request a refund of the entire order within 30 days after the first learner in that order activates their Academy access under Section 3.4. This is one guarantee window for the whole order, not a separate window per seat; later learner activations or sign-ins do not restart it. Purchase, seat assignment, and the buyer’s account setup or sign-in solely to manage the team do not start the window. If the buyer also takes a seat, their learner activation counts toward the first activation. A whole-order refund counts as one refund under the limit above, whatever the seat count. When we approve it, access ends for every seat in the order, including seats you already assigned. We refund a single seat only at our discretion; email support to ask.
4.2 Other refunds and mandatory rights
Except for the guarantee, a specific written purchase term, termination without cause described in Section 14, or a non-waivable right under law, fees are non-refundable. Non-use, unused access time, missed sessions, scheduling conflicts, and third-party tool costs do not independently create a refund right. These limitations do not override the 30-day membership guarantee. The refund rights in these Terms are the available contractual refund remedies, without limiting remedies the law requires.
4.3 Chargebacks and payment disputes
If your concern qualifies for the guarantee in Section 4.1, we encourage you to request a refund from us. Contacting us is not a condition of exercising rights with your bank or card issuer and does not extend any payment-dispute deadline. If you initiate a chargeback or other payment reversal instead of, or while, a refund request is pending, we may suspend access until the dispute is resolved and may give your bank or card issuer records showing your enrollment, access, and use of the Services. If the membership payment is finally reversed in full, membership access and included benefits end, subject to any rights that applicable law requires. Fraudulent chargebacks or deliberate attempts to recover the same payment twice may be treated as abuse and considered in a decision to decline a future purchase. Exercising payment-dispute rights in good faith is not abuse.
5. Third-party tools and links
The Academy discusses third-party AI, automation, productivity, and business tools. This website is hosted by Vercel and may link to third-party resources. Third-party services are not owned or controlled by MVC unless expressly stated. They may require their own accounts, subscriptions, fees, permissions, and agreements.
You are responsible for reviewing a provider's terms, privacy practices, permissions, and suitability before using it or sharing information with it. We do not warrant third-party content, accuracy, availability, security, compatibility, or continued operation. Third-party changes or outages may affect a workflow. To the extent permitted by law, MVC is not responsible for third-party acts or omissions; Section 11's mandatory-rights exceptions still apply.
6. Education, AI, and your responsibilities
6.1 Educational purpose
The Services provide general education and examples. They are not legal, tax, accounting, financial, investment, medical, employment, compliance, cybersecurity, or other professional advice. Using the Services does not create a professional-client, fiduciary, or advisory relationship. Consult appropriately qualified professionals for decisions requiring that expertise.
6.2 AI limitations and human review
AI can produce inaccurate, incomplete, outdated, biased, offensive, unsafe, or fabricated output, including invented citations. Prompts, Skills, templates, and automations can contain errors or behave unexpectedly. We do not promise that any output is original, exclusive, copyrightable, non-infringing, or suitable for your circumstances.
You are responsible for reviewing, testing, editing, and verifying outputs and workflows before using or publishing them. Check facts, permissions, security, legal requirements, and business suitability. Maintain appropriate human oversight, backups, and safeguards, especially before connecting a workflow to customer information, business systems, or external actions.
6.3 Information you choose to share
Do not send us or an external AI tool sensitive personal information, government IDs, financial-account information, health information, information about minors, trade secrets, confidential client materials, or third-party information unless you have the necessary authority and appropriate safeguards. You remain responsible for the rights and permissions needed for information you submit and for your business decisions.
There is no live AI processing in this website's demonstrations. The privacy practices of any separate AI service you choose to use are governed by that service's policies, not by a demonstration shown here.
7. Acceptable use
You must not use the Services to:
- Violate laws, these Terms, confidentiality obligations, or another person's intellectual-property, privacy, or other rights.
- Engage in fraud, deception, impersonation, harassment, threats, discrimination, exploitation, or other unlawful or harmful activity.
- Introduce malware, credential-stealing content, malicious prompts, or unsafe automations; disrupt or overload the website; or attempt unauthorized access to systems or data.
- Bypass security, access, rate, or other technical controls, or test their vulnerability without prior written authorization.
- Scrape, harvest, reproduce, redistribute, resell, or commercially exploit the Services or protected content without permission, except as permitted by law or an applicable written license.
- Reverse engineer non-public systems or extract non-public prompts, workflows, or source code, except where applicable law permits this despite a contractual restriction.
- Use protected Academy content to train a competing model, assemble a competing paid-content library, or misrepresent affiliation with Handoff Academy.
We may investigate suspected violations, restrict access, preserve relevant records, enforce our rights, and make legally permitted disclosures to providers or authorities. These provisions do not prohibit lawful consumer reviews, protected speech, or uses that applicable law does not allow us to restrict.
8. Intellectual property and permitted use
MVC and its licensors retain their rights in the website, Academy curriculum, text, designs, software, logos, videos, and other protected materials. Third-party names, screenshots, and materials belong to their respective owners. Access does not transfer ownership or create an implied license beyond the permission expressly granted.
We grant you a limited, non-exclusive, non-transferable permission to view the public website and use materials expressly made available for download for their stated educational or identification purpose. You may not resell, sublicense, publicly redistribute, or claim ownership of protected materials without permission. A learner authorized under Section 3.2, or assigned a seat under Section 3.4, may use paid Academy materials for education and for internal work in the buyer's business, subject to any applicable written license provided with the purchase.
Handoff brand assets are available for accurate identification and approved collaboration, subject to the brand guidelines. They do not authorize false affiliation, endorsement, confusing brand use, or resale of Academy content. Font files and other third-party materials remain subject to their included or separately identified licenses. Nothing here limits rights expressly granted by an applicable open-source or third-party license.
9. Communications, feedback, and copyright
If you email us, you retain ownership of your message and attachments. You authorize us to use and process them as reasonably necessary to respond, provide support, maintain records, and protect legal rights, as described in the Privacy Policy. You represent that you have authority to share them.
If you voluntarily provide product suggestions or feedback, you grant MVC a worldwide, perpetual, non-exclusive, royalty-free right to use that feedback to improve the Services without compensation or attribution. This does not authorize us to use private correspondence or your identity as a public testimonial, case study, or endorsement without separate permission. If we display a member testimonial, review, or outcome example, we will disclose any free access, discount, or compensation the member received for it, consistent with FTC endorsement guidance.
For a copyright complaint, email support@handoffacademy.com with a description of the work, the allegedly infringing material and its location, your contact information, and a statement that you own the rights or are authorized to act. We may seek additional information and remove or disable material as appropriate. This contact process does not represent that we have registered a statutory copyright agent.
10. Warranty disclaimers
To the fullest extent permitted by applicable law, the Services, examples, downloads, and educational materials are provided "as is," "as available," and "with all faults." MVC disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.
We do not warrant uninterrupted, timely, error-free, secure, or confidential operation; compatibility with every tool; or that content, AI output, or downloads will be complete, safe, lawful for your use, or free of harmful components. We do not guarantee income, revenue, savings, profit, growth, productivity, or another business result.
You assume the risks of your reliance on educational materials, your use of third-party tools, and your own business decisions to the extent the law allows. These disclaimers do not remove an express refund promise or exclude warranties, duties, or remedies that cannot lawfully be excluded. If a disclaimer is restricted by law, it applies only to the maximum permitted extent.
11. Limits on liability
For this section and Section 12, the "MVC Parties" means MVC and its members, managers, officers, employees, contractors, agents, affiliates, licensors, vendors, and participating instructors or hosts.
11.1 Excluded damages
To the fullest extent permitted by law, the MVC Parties are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, anticipated savings, business, goodwill, data, or use arising from or related to the Services or these Terms, even if advised that such damages were possible.
11.2 Aggregate cap
To the fullest extent permitted by law, the MVC Parties' aggregate liability for claims arising from or related to the affected Services or these Terms will not exceed the greater of (a) the fees you paid MVC for the affected Service, or (b) $100 USD. For a paid Academy membership, the relevant fees are the membership fees for the affected access term.
These limits apply regardless of the theory of liability, including contract, tort, negligence, strict liability, statute, or equity, and to claims involving educational materials, AI outputs, third-party tools, downloads, or data, subject to the exceptions below.
11.3 Rights and liability that cannot be excluded
Nothing in these Terms excludes or limits liability for our fraud or willful misconduct; gross negligence where it cannot lawfully be limited; death or personal injury caused by negligence where the law prohibits limitation; or non-waivable statutory privacy, data-security, consumer-protection, or other rights and remedies. Where a limit is not permitted, it applies only to the extent allowed by law.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold the MVC Parties harmless from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from your unlawful or unauthorized use of the Services; materials you submit without the required rights; your violation of these Terms, law, or third-party rights; or your implementation of workflows in a way that infringes rights or causes unlawful harm.
This obligation does not require you to indemnify a party for its own conduct to the extent prohibited by law, including liability preserved by Section 11.3. MVC may control the defense of a matter covered by this section, and you agree to reasonably cooperate. You may not settle a claim in a way that imposes an obligation on, admits wrongdoing by, or fails to release an MVC Party without our prior written consent.
13. Disputes, arbitration, and governing law
This section affects your legal rights. Read it carefully. Its application remains subject to valid agreement and applicable law.
13.1 Informal resolution
Before commencing arbitration, send a written notice to support@handoffacademy.com describing the dispute, your name and contact email, and the relief requested. Both sides will make a good-faith effort to resolve the dispute for 60 days after receipt. This process does not prevent urgent relief or a filing necessary to preserve a non-waivable right or deadline.
13.2 Individual arbitration
Except for the exceptions below, disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. The rules and fee information are available at adr.org.
Arbitration may occur remotely or in Miami-Dade County, Florida, subject to the AAA rules and any location protections required by law. The arbitrator may award relief available in an individual court action. Filing fees, cost allocation, and procedural protections are governed by the applicable AAA rules and law. If AAA declines administration and the parties cannot agree on an appropriate alternative, either party may bring the dispute in a court of competent jurisdiction.
13.3 Who decides
To the extent permitted by law, the arbitrator decides disputes about the interpretation, applicability, or enforceability of this arbitration agreement. A court decides the enforceability of the class-action waiver, restrictions on public injunctive relief, and mass-arbitration procedures, and any question the law requires a court to decide.
13.4 Class-action and jury-trial waiver
To the fullest extent permitted by law, you and MVC agree to bring claims only in an individual capacity, not as a plaintiff or class member in a class, collective, representative, or consolidated proceeding. For disputes subject to arbitration, you and MVC waive a court and jury trial. The arbitrator may not combine claims or award relief for people who are not parties except as the parties agree or the law requires. If a waiver cannot be enforced for a particular claim or remedy, that portion is severed and may proceed in court. The individual-claims and class-action restrictions in this section do not apply if you timely opt out under Section 13.8.
13.5 Coordinated filings
If 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the parties will cooperate in good faith on an efficient process. To the extent permitted by applicable law and AAA rules, proceedings may be administered in batches of up to 25, with remaining proceedings and fees stayed pending their batch. This procedure does not override mandatory AAA requirements, prevent individual relief, or shorten a legally protected filing period.
13.6 Small claims and urgent protection
Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or preliminary court relief to protect intellectual property, confidentiality, security, or unauthorized system access, without waiving arbitration of other claims. Where legally permitted, court proceedings under these Terms belong in the state or federal courts in Miami-Dade County, Florida, except for an eligible local small-claims action or a mandatory venue right.
13.7 Public injunctive relief
Nothing in this section waives a non-waivable right to seek public injunctive relief. If law requires such a request to be decided in court, it may proceed there, with arbitrable individual claims decided first only to the extent the law permits.
13.8 Your 30-day opt-out right
You may opt out of arbitration and the class-action waiver at any time before your first Academy purchase or within 30 days after that purchase by emailing support@handoffacademy.com with the subject "Arbitration Opt-Out". Include your name and contact email and state that you opt out of arbitration; this also opts you out of the class-action waiver. No Handoff account is required. Opting out does not affect the remaining Terms or your ability to use the Services.
13.9 Claim deadlines
Only where legally permitted, a claim relating to the Services must be commenced within one year after it accrues. This contractual limit does not apply to an action arising out of a contract governed by Florida Statutes Section 95.03, a claim for fraud, a non-waivable privacy or consumer claim, or any claim whose statutory filing period cannot lawfully be shortened. Otherwise, the applicable statutory period controls.
13.10 Governing law
Florida law governs these Terms without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement. This choice does not deprive you of mandatory protections under otherwise applicable law.
14. Changes and ending access
You may stop using the public website at any time. We may change, suspend, or discontinue the website, the enrollment flow, or the offer, or restrict access reasonably necessary to address a breach, misuse, legal requirement, or security risk. Withdrawing or changing the offer does not affect a membership already purchased.
For a paid membership, changes to price, access length, or the core purchased offer will not retroactively change a purchase, except as required by law or addressed in the agreed purchase terms. If MVC terminates a paid Academy membership for convenience, or permanently discontinues its core service during the purchased term, we will provide a pro-rata refund based on unused calendar days. This is the contractual remedy for that discontinuation without limiting non-waivable legal remedies.
When permission or membership access ends, the relevant access rights end. Confidentiality, intellectual-property restrictions, accrued payment and refund obligations, disclaimers, liability limits, dispute provisions, and other provisions that by their nature should survive remain effective to the extent permitted by law. Information retention is governed by the Privacy Policy.
15. General provisions
Updates. We may update these Terms prospectively by posting a revised version and updated date. We will provide additional notice and obtain agreement when required by law. Continued use after an update takes effect constitutes acceptance only to the extent legally sufficient. Changes do not retroactively alter an existing purchase or accrued claim without valid agreement or legal authority.
Entire agreement. These Terms, the Privacy Policy, applicable download licenses, and any written purchase-specific terms form the agreement for the Services they cover. Purchase-specific terms control an express conflict for that purchase. A purchase made on this website does not replace an existing MOAI member agreement.
Assignment. Except for an initial learner designation under Section 3.2, a seat assignment under Section 3.4, and a correction to a seat invitation email address that support makes before the learner claims the account, you may not transfer your rights or obligations without our written consent. MVC may assign these Terms in connection with a merger, acquisition, reorganization, or sale of the relevant business or assets, subject to law and without reducing non-waivable rights.
Severability and waiver. An unenforceable provision will be limited or severed to the minimum extent necessary; the remainder remains effective. Failure to enforce a provision is not a waiver of later enforcement.
Events beyond reasonable control. To the extent permitted by law, we are not responsible for a delay or interruption caused by events beyond our reasonable control, including natural disasters, government action, power or internet failures, or third-party outages. This does not excuse non-waivable duties or an applicable refund obligation.
Relationship and beneficiaries. These Terms do not create a partnership, agency, employment, franchise, fiduciary, or professional relationship. Except for the MVC Parties' rights under Sections 11 and 12, there are no intended third-party beneficiaries.
Notices. We may post website notices or respond electronically to an address you provide. Transactional emails about a purchase or a checklist you requested are not marketing messages and do not subscribe you to marketing. Legal notices to MVC may be sent to the email or postal address below. The support address is monitored on MVC's behalf even though message handling uses the shared support arrangement described in the Privacy Policy; a notice sent there does not need to be sent to any other entity.
